1. Terms of Use
General
These terms and conditions govern the use and access of this web site and its associated
services (the “SMP Webinar”), which are owned and operated by Standard Motor Products,
Inc. (“SMP”). Any person accessing
the SMP Webinar (the “User”) is giving binding acceptance of these terms and conditions,
including any update made by SMP, who reserves the right to change or modify all
or any part of these terms and conditions at any time in its sole discretion without
prior notice to the User. If at any
time these terms and conditions are no longer acceptable for the User, he/she should
immediately cease use of the SMP Webinar.
Use of SMP Webinar Content
The User acknowledges that the SMP Webinar contains information, including but not
limited to text, graphics, audio, video, designs, and other materials (collectively,
the “Content”) that is protected by copyright, trademark or other proprietary rights
of SMP. The User may access to the
content only for his/her personal, noncommercial use.
Any other use requires SMP’s prior express written permission.
The User may not, in whole or in part, modify, publish, transmit, transfer
or sell, reproduce, create derivative works from, distribute, perform, display,
or in any way exploit any of the content.
No copying, storage, redistribution or publication of any content is permitted without
the express permission of SMP. In the
event the User is authorized to download content from the SMP Webinar, the User
shall maintain and include all copyright and other notices contained in such content
and comply with all applicable laws, rules and regulations that govern the export
of technical data. Permission to use
the downloadable content shall be granted, provided that (1) both, a SMP copyright
notice and this permission notice appear in any copy of the content, (2) use of
such content is only for informational and personal use, and never for commercial
use nor to be copied or posted on any network computer or broadcast in any media,
(3) no modification of the content is made, and, (4) the User pays the membership
price for the use of the content, when required.
The content specified herein does not include the design or layout of the
SMP Web site or SMP Webinar, or any other SMP owned, operated, licensed or controlled
site. No logo, graphic, sound or image
from any SMP web site may be copied or retransmitted.
Violators will be prosecuted to the maximum extent possible.
Limitation of liability
While SMP makes reasonable efforts to ensure information on the Webinar is up to
date and accurate, neither SMP nor any of its affiliates makes any representation
or gives any warranty as to the currency, accuracy, reliability or completeness
of any content posted on the SMP Webinar. The
User acknowledges that any reliance upon such content shall be at the User’s sole
risk. Furthermore, SMP and its affiliates
make no representations about the suitability of the information contained in the
content, documents and related information published as part of the SMP Webinar
for any purpose. All such contents
are provided "as is" without warranty of any kind.
SMP and its affiliates disclaim all warranties and conditions with regard
to the SMP Webinar, including all warranties and conditions of merchantability,
whether express, implied or statutory, fitness for a particular purpose, title and
non-infringement. Neither SMP nor its
affiliates will be liable for any special, indirect, or consequential damages or
any damages whatsoever resulting from loss of use, data or profits, whether in an
action of contract, negligence or other relating action, arising out of or in connection
with the use or performance of information available from the SMP Webinar.
The content, documents and related information published on the SMP Webinar could
include technical inaccuracies and interruptions.
The SMP Webinar is not error free and changes may be periodically added to
the information herein. SMP and its
affiliates may conduct maintenance, improvement and/or changes to the SMP Webinar,
its content, programs, devices and applications at any time. SMP is not liable for
any occurrence arising out of these activities.
Termination of Service
SMP reserves the right, in its sole discretion, to restrict, suspend or terminate
the User’s access to all or any part of the SMP Webinar at any time for any reason
without prior notice or liability.
SMP may also, without advance notice or liability, interrupt or discontinue any
and all aspects of the SMP Webinar.
In the event of termination, the User shall be authorized to download one copy of
any Webinar content previously purchased on one computer for the User’s personal,
non-commercial use only. The User acknowledges
that such authorization is valid only for 45 days after SMP notice of termination
and subject to the terms of use and copyright of the SMP Webinar.
Indemnity
The User agrees to indemnify, defend and hold SMP and its affiliates, and their
respective officers, directors, owners, agents, information providers and licensors
(collectively, the “SMP Parties”) harmless from and against any and all claims,
liability, losses, costs and expenses, including attorneys' fees, incurred by any
SMP Party in connection with any use or alleged use of the SMP Webinar under the
User’s name by any person, whether or not authorized by the User.
SMP reserves the right, at the User’s expense, to assume the exclusive defense
and control of any matter otherwise subject to indemnification by the User, and
in such case, the User agrees to cooperate with SMP's defense of such claim.
Links
The SMP Webinar may contain links to sites on the Internet, which are owned and
operated by third parties. The User
acknowledges that SMP is not responsible for the availability of, or the content
located on or through any third parties’ site.
SMP is providing these links to the User only as a convenience, and the inclusion
of any link does not imply endorsement by SMP of the site.
Miscellaneous
These terms and conditions shall be construed in accordance with the laws of the
State of New York, and the parties irrevocably consent to bring any action to enforce
these terms and conditions in the federal or state courts located in the State of
New York. These terms and conditions constitute the entire agreement between SMP
and the User with respect to the SMP Webinar, and supersede all previous written
or oral agreements between them. All provisions hereof shall survive any termination
of this agreement as well as any other revisions which by their terms or sense are
intended to survive.

2. Disclaimer
The information contained in the SMP Webinar is for general guidance on matters
of interest only and is provided with the understanding that SMP and its affiliates
are not herein engaged in rendering professional or technical advice.
SMP is not responsible for any errors or omissions, or for the
results obtained from the use of this information. ALL
CONTENT, DOCUMENTS AND RELATED INFORMATION ARE PROVIDED "AS IS" WITHOUT WARRANTY
OF ANY KIND. SMP AND ITS AFFILIATES
DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THE SMP WEBINAR, INCLUDING
ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, WHETHER EXPRESS, IMPLIED OR STATUTORY,
FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
In no event shall SMP or its affiliates be liable for any special,
indirect or consequential damages or any damages whatsoever resulting from loss
of use, data or profits, whether in an action of contract, negligence or other tortious
action, arising out of or in connection with the use or performance of information
available from the SMP Webinar. IN
NO EVENT SHALL SMP, ITS AFFILIATES, AGENTS OR EMPLOYEES THEREOF BE LIABLE TO THE
USER OR ANYONE ELSE FOR ANY DECISION MADE OR ACTION TAKEN IN RELIANCE ON THE INFORMATION
IN THE SMP WEBINAR OR FOR ANY CONSEQUENTIAL, SPECIAL, OR SIMILAR DAMAGES, EVEN IF
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

4. SMP Privacy Policy
The information about the User collected on the SMP Webinar is being specifically
and voluntarily provided by the User and is subject to this privacy policy. By disclosing his/her information to
SMP, the User acknowledges the terms of this policy.
SMP may collect certain personal information, including the User’s name, title,
company address, email address, and/or telephone and fax numbers when the User registers
for the SMP Webinar or when purchasing content. The
User acknowledges that such information could be used either to register for the
SMP Webinar and purchase contents or for receiving any other information via the
SMP mailing list.
SMP shall never sell, rent or exchange the User’s personal identifying information
to any unaffiliated third party. However,
SMP may share such information with related third parties or unrelated third parties
in connection with or maintenance and operation of the SMP Webinar or as may otherwise
be legally required. Although SMP uses
security that it believes to be appropriate to protect the personal identifying
information received through the SMP Webinar, SMP does not guarantee that its security
precautions shall protect against any loss, misuse or alteration of any such information.
